Ontario has updated rules for not-for-profit corporations under the Not-for-Profit Corporations Act, 2010 (ONCA), providing them with a framework that:

  • simplifies the incorporation process,

  • clarifies rules for governance and operations, increasing accountability and transparency,

  • promotes members’ rights and outlines actions they can take if they believe directors and officers are not acting in the corporation’s best interest.

ONCA sets out how not-for-profit corporations are created, governed and dissolved. As of October 19, 2021, ONCA has been in force. Not-for-profit corporations in Ontario were granted a three-year transition period to make changes to their governing documents, including By-laws.
