Ontario has updated rules for not-for-profit corporations under the Not-for-Profit Corporations Act, 2010 (ONCA), providing them with a framework that:
simplifies the incorporation process,
clarifies rules for governance and operations, increasing accountability and transparency,
promotes members’ rights and outlines actions they can take if they believe directors and officers are not acting in the corporation’s best interest.
ONCA sets out how not-for-profit corporations are created, governed and dissolved. As of October 19, 2021, ONCA has been in force. Not-for-profit corporations in Ontario were granted a three-year transition period to make changes to their governing documents, including By-laws.
